Division Mondo Internazionale Hub

Article 1

INSTITUTION

Mondo Internazionale Hub is established as a division of Mondo Internazionale Association, as established by art. 37 of its Regulation. The division is subject to the direction of the Presidency and the Steering Committee.

Article 2

PURPOSES AND ACTIVITIES

Mondo Internazionale Hub represents the division of the Association Mondo Internazionale for the activities carried out in the field of innovation and research and scientific analysis within the projects of the Association itself or on behalf of third parties.

Article 3

MEMBERS

Members of Mondo Internazionale Hub are all those who are regularly enrolled in Mondo Internazionale Association and whose application for membership in the division is successful.

Article 4

MEMBERSHIP CRITERIA

The application for membership in the division of Mondo Internazionale Hub may be submitted if the member meets the following requirements:

a. the candidate must have completed a three-year degree program or, alternatively, be enrolled in a specialist/master's degree course or a Level I or II Master's degree issued by recognized university institutes. Also recognized are foreign qualifications, artistic or musical, legally recognized and equivalent to the three-year degree. For candidates enrolled in single cycle degree courses, the candidate must be enrolled regularly in the 3rd year of the course. Applications are also valid for candidates enrolled in research doctorates in Italy or abroad at recognized universities;

b. the candidate must be a regular member of the World International Association at the time the application is submitted. The application for membership to Mondo Internazionale Hub is evaluated by the Director of the division together with the Director General of Mondo Internazionale Association. The latter is required to consult in advance with the Secretary General and the Steering Committee. The application for membership of Mondo Internazionale Hub must demonstrate the validity of skills in research and innovation and must contain a research project proposal accompanied by a letter of motivation;

c. in case of rejection, the application may be submitted again after 6 months from the submission of the last application for membership to Mondo Internazionale Hub. It is possible to lodge an appeal in case of rejection to the President who is required to consult with the Steering Committee to re-examine the reasons for rejection.

Article 5

CRITERIA FOR THE EXCLUSION OF MEMBERS

The expulsion of members from the division of Mondo Internazionale Hub is regulated by art. 5 of the Statue of Mondo Internazionale Hub Association. To deliberate on the exclusion of the members of Mondo Internazionale Hub is the Board of Directors of Mondo Internazionale Hub Association, which expresses itself in favor or against by qualified majority of the members present at the vote, on proposal of the Board of Directors of the division. In cases of absolute urgency, the President of Mondo Internazionale Association may implement the appropriate initiatives, in accordance with chapter 1 art. 1 of the Regulation of the Association itself.

Article 6

THE DIVISION BODIES

The division of Mondo Internazionale Hub is composed of the following bodies:

a. Board of Directors of Mondo Internazionale Hub;
b. Assembly of Members of Mondo Internazionale Hub.

Should any episodes occur that require the intervention of a judicial body, the Board of Arbitrators of Mondo Internazionale Association is to be considered entrusted to intervene, in accordance with art. 13 of the Statute of Mondo Internazionale.

Article 7

BOARD OF DIRECTORS OF MONDO INTERNAZIONALE HUB

1. The Board of Directors of Mondo Internazionale Hub is composed of the Director, Secretary and Director of Mondo Internazionale Hub Division. The Board of Directors is appointed by the Steering Committee of Mondo Internazionale Association, which elects its members by qualified majority vote of the members. The Board of Directors is renewed every 2 years.

2. The Board of Directors of Mondo Internazionale Hub performs the following tasks:

a. Resolves on decisions to be taken in relation to the management and organization of Mondo Internazionale Hub division;

b. Resolves on the entry of members into the division of Mondo Internazionale Hub;

c. Provides guidelines for the organization and conduct of activities to the Research Managers of Mondo Internazionale Hub;

d. It organizes periodic meetings with the Board of Directors of Mondo Internazionale Association and, if requested, with the Board of Directors of Mondo Internazionale Academy;

e. Coordinate and supervise the activities of Mondo Internazionale Hub so that they do not in any way conflict with national regulations, the Articles of Association and the Regulation of Mondo Internazionale Association.

f. The Board of Directors decides on the dissolution of Mondo Internazionale Hub together with the Board of Directors of Mondo Internazionale Hub Association:

a. To dissolve the division, a first unanimous vote of Mondo Internazionale Hub Board of Directors is required; if the vote is successful, Mondo Internazionale Hub Board of Directors must submit the motion for dissolution to Mondo Internazionale Hub Association Board of Directors;

b. The Steering Committee must approve the motion unanimously by those present at the vote, who must represent at least 2/3 of the total members of the Committee;

c. If the Board of Directors of Mondo Internazionale Hub Association is also in favor of the dissolution, the Board of Directors of Mondo Internazionale Hub must proceed to communicate by official press release the dissolution of the division, which is published on the website of Mondo Internazionale Hub Association;

d. In case of dissolution of Mondo Internazionale Hub, the Director of Mondo Internazionale Hub must initiate the dissolution procedure; the Director, together with the Board of Directors of Mondo Internazionale Hub, has the task of verifying that any remaining assets of Mondo Internazionale Hub are entrusted to Mondo Internazionale Hub Association. The Board of Directors of Mondo Internazionale Association must then evaluate possible returns to public and private entities that have disbursed funds to Mondo Internazionale Hub.

Article 8

ASSEMBLY OF MEMBERS

1. Mondo Internazionale Hub Division organizes and convenes its own Assembly of members, according to the criteria and modalities expressed in these regulations. The Assembly of Members is composed of all members of Mondo Internazionale Hub. The Ordinary Members' Meeting must meet periodically, at least once every six months, for:

a. Evaluating the activities carried out within Mondo Internazionale Hub;

b. Evaluating the work of Mondo Internazionale Hub Board of Directors;

c. Proposing and select the research projects to be launched within Mondo Internazionale Hub;

d. Identifying and carrying out research and training projects in concert with Mondo Internazionale Academy division.

2. The Shareholders' Meeting may also be convened through the Extraordinary Shareholders' Meeting formula if it is necessary to resolve on matters of an urgent nature.

3. The President of the Assembly is represented by the Director of the Board of Directors of Mondo Internazionale Hub.

4. The convocations of the Assembly must be made by written notice by paper or electronic mail, with proof of receipt to be delivered at least thirty days before the date of the meeting, containing the agenda, day, place, date and time of the first convocation. Any second convocation cannot take place on the same day as the first convocation. In the absence of a formal convocation or failure to comply with the terms of notice, the meetings in which all members participate in person, or by proxy, as well as the majority of the individual bodies of the association will be equally valid.

The Assembly, both ordinary and extraordinary, is validly constituted in first call when at least half plus one of the members are present or represented. In second call, the Assembly is validly constituted whatever the number of members present or represented.

5. The second convocation of the Assembly of Associates may be held one hour after the first. The Agenda of the Members Assembly is published by the Board of Directors of Mondo Internazionale Hub at least 10 days before the Members Assembly. Therefore, any requests for the inclusion of other points by the Associates, contemplating resolutions of the Assembly, must be received by the Board of Directors of Mondo Internazionale Hub at least 20 days in advance, in order to prepare the necessary documentation for the discussion. Exceptionally, the Associates may present to the President of the Assembly, at the opening of the same, written memoirs on topics to be included among the "various and possible": the President has the right to decide on the admissibility of the topics or their referral to other bodies of the Association.

Main offices

On February 1st, every two years from February 2020, the Steering Committee of Mondo Internazionale Hub Association meets to renew the offices of the Steering Committee of Mondo Internazionale Hub. At this meeting, the Board of Directors elects from among its members the Director, the Counselor and the Secretary of Mondo Internazionale Academy.

Article 10

DIRECTOR OF MONDO INTERNAZIONALE HUB

1. The Director of Mondo Internazionale Hub is appointed on the proposal of the Director General of the Association Mondo Internazionale and is elected by qualified majority vote of the Steering Committee of the same. The term of office shall be two years and shall be tacitly renewable. The Director may resign at any time by informing the Steering Committee of the Mondo Internazionale Association in writing at least 90 days before the actual resignation, unless otherwise agreed between the Parties. If the Steering Committee of Mondo Internazionale Hub Association deems it necessary, it may revoke the office of Director of Mondo Internazionale Hub by qualified majority, giving reasons for the decision in writing and communicating it through official channels. The decision of the Steering Committee shall take effect 3 days after the communication.

2. The Director must represent and maintain the national and international relations of Mondo Internazionale Hub with public and private bodies, institutions, international organizations, university institutes, supporters of the division and volunteers.

3. The Director must have leadership skills, i.e. the ability to identify the most important problems and to guide the Board of Directors with objectivity and balance, favoring the contribution of the Director, as well as assisting the Board of Directors in decisions of an urgent nature.

4. The Director must:

a. To ensure the proper functioning of the Board of Directors and represent its positions within and outside the Division;

b. ensure compliance with the law and internal rules;

c. represent but not substitute for the Board of Directors in dictating objectives or placing constraints on staff, except in cases of urgency;

d. delegate its functions to the Director, if necessary, while continuing to answer for them;

e. maintain constant contact with the Steering Committee and the Director General of the World International Association to coordinate the activities of the division;

f. take care of the proper use of any form of funding is provided to Mondo Internazionale Hub, ensuring that the funds available are used in the performance of the planned activities and protected from any potentially illegal and/or harmful activity in accordance with the provisions of the law in force and the internal regulations of Mondo Internazionale Hub Association.

h. Coordinate the Research Managers of Mondo Internazionale Hub.

i. manage the formulation of collaboration agreements with partners and/or third parties.

l. Propose the dissolution of the division at the meeting of Mondo Internazionale Academy Board of Directors;

m. to act as Chairman of the Members' Meeting.

5. At the end of his or her term of office, the Director remains in office for ordinary administration until the Steering Committee elects a successor.

6. A civil liability policy must be taken out for the Director covering the risks inherent in his role as representative of the division, as soon as the financial resources of the Association Mondo Internazionale allow it.

7. The Director, in case of absolute urgency for the respect of the regulations in force, adopts all the necessary measures, replacing the Board of Directors for a limited time. The Director has 30 days to provide a report of what happened to the Board of Directors and to refer the decisions to the Board of Directors, which must decide by qualified majority on the Director's work. If the regulations in force have been unequivocally violated by a member of the Board of Directors, the latter must be immediately excluded from any associative activity and from the Board while waiting for the Board of Directors of Mondo Internazionale Association to pronounce on the measures to be taken by consulting the Assembly of the Members. The Director has the task of presenting a written report informing each member of the Steering Committee of Mondo Internazionale Association of what happened, within 3 days from the exclusion of the member.

8. The Director may have access, subject to authorization by the President of Mondo Internazionale Association, or on his behalf of the Vice - President, to all documents; software, computer and non-computer programs in admin mode; bank account; safe-deposit boxes; the registered and/or operational headquarters of the Association and any movable and immovable property of the Association.

9. All information that the Director of Mondo Internazionale Hub deals with regarding Mondo Internazionale Association and its organization of internal and external activities is to be considered confidential and prohibited from disclosure. The same applies to the division of Mondo Internazionale Academy, in all its parts.

10. In the international context in which the division operates is identified as "Director of Mondo Internazionale Hub".

11. The Director assumes full responsibility in carrying out the activities indicated and the burden of reparation towards Mondo Internazionale Association and the division in case of damages resulting from negligence and/or default in the performance of his duties. He shall be liable civilly and criminally if the damage caused provides for the possibility of legal action against him. If the damage caused is attributable to the failure of the Director General of Mondo Internazionale Hub Association to carry out his duties, the latter is civilly and criminally liable for the actions of the Director of Mondo Internazionale Hub.

Article 11

SECRETARY OF MONDO INTERNAZIONALE HUB

1. The Secretary of Mondo Internazionale Hub is appointed at the proposal of the Director General of Mondo Internazionale Association and is elected by qualified majority vote of the Steering Committee of the same. The term of office shall be two years and shall be tacitly renewable. The Secretary may resign at any time by informing the Steering Committee of Mondo Internazionale Association in writing 90 days before the actual resignation, unless otherwise agreed by the Parties. If the Steering Committee deems it necessary, it may revoke the office of Secretary by qualified majority, giving reasons for the decision in writing and communicating it through official channels. The decision of the Steering Committee shall take effect 3 days after the communication.

2. The Secretary is responsible for coordinating and managing the general administration of Mondo Internazionale Hub together with the Director.

3. The Secretary shall act with the powers expressly delegated to him by these Rules of Procedure. The Secretary must:

a. Provide the Board of Directors with scenarios on the future of the division and strategies for its development;

b. protect the image and credibility of Mondo Internazionale Hub;

c. refuse donations incompatible with the purposes of the association;

d. avoid acquisitions or decisions in conflict of interest;

e. set compensation and benefits for collaborators within the usual limits for the professionalism employed and in compliance with the regulations in force, guarantee the safety of the offices according to the rules established by Italian law, jointly consulting the Director and the Director.

f. to implement the policy resolutions formulated by the Board of Directors, in consultation with the Director and the Board Member, and to answer for the results achieved.

g. freely choose the most suitable instruments to achieve the objectives set by the Board of Directors.

h. propose to the Board of Directors an Annual Plan and a Three-Year Plan for the planning of activities, according to the objectives formulated by the Board of Directors.

i. inform the Director General of Mondo Internazionale Hub Association, the Director of Mondo Internazionale Hub, or in his absence the Director, and the Board of Directors in particular on the most relevant events and trends, on the opinions that may influence their decisions, on situations in which the Board of Directors deviates from its previous guidelines and informs the Director, in his absence to the Director, of the topics that it would be appropriate, in his opinion, to put on the agenda.

l. maintain relations with the other divisions and with all public and private entities with which it is appropriate to collaborate in order to achieve the objectives set by the Board of Directors, in compliance with the law and confidentiality.

m. to be responsible for the work of the staff and to manage it in compliance with the rules established by the Board of Directors of Mondo Internazionale Association and the employment contracts. It shall not prevent any employee from addressing the Board of Directors of Mondo Internazionale Hub or the Presidency of Mondo Internazionale Association to report violations of internal regulations.

n. set up Commissions with operational tasks in execution of resolutions of the Board of Directors with the consent of the Director, or in his absence of the Director.

o. to ensure that the Director and the Counselor are aware of basic issues and procedures of his work, so that he may be temporarily replaced in case of need and must inform the Director General of the World International Association periodically, except in urgent cases.

p. draw up the appointments necessary for the conferment of the offices within Mondo Internazionale Hub, with the consent of the Director General of Mondo Internazionale Hub Association and the Director of Mondo Internazionale Hub, or in his absence of the Director.

4. The Secretary, the Board of Directors also assigns to the Secretary the following powers to be exercised by joint signature with the Director General of Mondo Internazionale Association and the Director of Mondo Internazionale Hub, or on his behalf the Director:

a. to make purchases in the course of the activities of the division, committing Mondo Internazionale Association for all rights and obligations that may derive from it, within the limits of the programs approved by the Steering Committee of Mondo Internazionale Association and subject to authorization by the Director General of the same;

b. define the specific skills of employees and external collaborators;

c. hiring, promoting, suspending, dismissing internal personnel within the division;

d. pay the periodic salary payments of the employees of the division, as well as the contributions and related compulsory obligations;

e. to carry out all the obligations in the accident prevention field to protect the employees and collaborators of the division, adopting all the necessary precautions and providing them with the necessary training in order to avoid and prevent any possible generic or specific risk to which they may be exposed;

f. deal with assistance and consulting relationships with professionals that have a continuous or occasional duration and that concern legal, administrative, fiscal, technical, promotional, etc. issues to be proposed for signature to the Director;

g. take all necessary measures to prevent breaches of the obligation of privacy with the right to appoint data processors responsible for the processing of personal data;

h. Perform any other act within the ordinary course of business, according to the programs and within the spending limits approved by the Board of Directors of Mondo Internazionale Hub and the Board of Directors of Mondo Internazionale Hub Association.

6. The Secretary may have access, with the prior permission of the President of Mondo Internazionale Association, or the Vice President, and the Director of Mondo Internazionale Academy, to all documents; software, computer and non-computer programs in admin mode; bank accounts; safe-deposit boxes; the registered and/or operational headquarters of the Association; and any movable and immovable property of the Association.

The permanently permitted accesses are:

a. all documents at the registered and/or operational headquarters;

b. Bank account;

c. Computer and non-computer systems, excluding server and domain.

7. All information that the Secretary of Mondo Internazionale Hub deals with regarding Mondo Internazionale Association and its organization of internal and external activities is to be considered confidential and prohibited from disclosure. The same applies to the division of Mondo Internazionale Academy, in all its parts.

8. In the international context in which the division operates is identified as "Secretary of World International Hub".

9. The Secretary assumes full responsibility in the performance of the activities indicated and the burden of reparation towards Mondo Internazionale Association and the division in case of damages resulting from negligence and/or default in the performance of his duties. He shall be liable civilly and criminally if the damage caused provides for the possibility of legal action against him. If the damage caused is attributable to the failure of the Director General of Mondo Internazionale Hub Association to fulfil his duties, the latter is civilly and criminally liable for the actions of the Secretary of Mondo Internazionale Hub.

Article 12

ADVISOR OF MONDO INTERNAZIONALE HUB

1. The Advisor of Mondo Internazionale Hub is appointed on the proposal of the Director General of the Association Mondo Internazionale and is elected by qualified majority vote of the Steering Committee of the same. The term of office shall be two years and shall be tacitly renewable. The Director may resign at any time by informing the Steering Committee in writing 90 days before the actual resignation, unless otherwise agreed between the Parties. If the Steering Committee deems it necessary, it may revoke the office of Director by qualified majority, giving reasons for the decision in writing and communicating it through official channels. The decision of the Steering Committee shall take effect 3 days after the communication.

2. The Director must support the work of the Director of Mondo Internazionale Hub by providing advice on decisions to be taken by the Board of Directors and implementation of the guidelines provided by the Director General and the Board of Directors of Mondo Internazionale Hub Association.

3. The councilman must:

a. support the Director in the elaboration and implementation of operational guidelines for the division's activities;

b. support the Secretary in organizing the administration of the division;

c. supervise the management and performance of the activities organized by the division of Mondo Internazionale Hub;

d. supervise the organization of events and conferences;

e. participate in national and international meetings of an operational nature where it is necessary to plan the division's activities and replace the Director if necessary;

f. support the Director in the opening of Mondo Internazionale Academy components on the national territory;

g. supervising the work of the internal teams at Mondo Internazionale Hub.

4. The Director may have access, with the prior authorization of the President of Mondo Internazionale Association, or on his behalf of the Vice President, and the Director of Mondo Internazionale Academy, to all personnel documents; software, computer and non-computer programs in management mode; bank account; the registered and/or operational headquarters of the Association; and any movable and immovable property of the Association for the performance of membership activities.

The permanently permitted accesses are:

a. all documents at the registered and/or operational headquarters relating to personnel management;

b. bank account;

c. Computer and non-computer systems, excluding server and domain.

5. All information that the Advisor of Mondo Internazionale Hub deals with regarding Mondo Internazionale Association and its organization of internal and external activities is to be considered confidential and prohibited from disclosure. The same applies to the division of Mondo Internazionale Academy, in all its parts.

6. In the international context in which the division operates is identified as "Advisor of Mondo Internazionale Hub".

7. The Advisor assumes full responsibility in the performance of the activities indicated and the burden of reparation towards Mondo Internazionale Association and the division in case of damages resulting from negligence and/or failure to perform his duties. He shall be liable civilly and criminally if the damage caused provides for the possibility of legal action against him. If the damage caused is attributable to the failure of the Director General of the International Mondo Hub Association to fulfil his duties, the latter is liable civilly and criminally for the actions of the Advisor of the International Mondo Hub.

Article 13

RESEARCH MANAGER

1. The Research Manager of Mondo Internazionale Hub is appointed by the Board of Directors of Mondo Internazionale Hub with the approval of the Director General of Mondo Internazionale Hub Association. The Board of Directors of Mondo Internazionale Hub appoints the Head of Research of Mondo Internazionale Hub by qualified majority vote of its members. The term of office shall be two years and may be renewed. The Director of Mondo Internazionale Hub may resign at any time by informing the Director of Mondo Internazionale Hub in writing at least 90 days prior to the actual resignation, unless otherwise agreed by the Parties. If the Board of Directors of Mondo Internazionale Hub deems it necessary, it may revoke the position of Head of Research of Mondo Internazionale Hub by qualified majority, giving reasons for the decision in writing and communicating it through official channels. The decision of the Board of Directors takes effect 3 days after the communication.

2. The Research Manager of Mondo Internazionale Hub may appoint two Deputy Research Managers of Mondo Internazionale Hub to carry out his or her own functions when he or she cannot be present or to support the activities of the project. When the Deputy Head assumes the powers and duties of the Research Manager, he or she also assumes responsibility for the actions taken during his or her management period.

3. The Research Manager of Mondo Internazionale Hub is in charge of starting and coordinating the reference research project within Mondo Internazionale Hub. It is the task of the Research Manager to evaluate, together with the Board of Directors of Mondo Internazionale Hub, that the project started is not in conflict with the established guidelines. If it is foreseen by the project, the Research Manager must provide support for the development and implementation of the project on the national and international territory, interfacing with any public or private bodies and natural persons included in the project itself. The Research Manager of Mondo Internazionale Hub supervises the entire team working within the project.

4. The Research Manager must take care of the image of the Association Mondo Internazionale and Mondo Internazionale Hub in the exercise of its functions, operating in the most transparent and objective way possible.

5. The Research Manager has the duty to protect any sensitive information and/or data belonging to Mondo Internazionale Association and Mondo Internazionale Hub during the performance of his duties.

6. The Research Manager, if necessary, may request to consult the legal, operational and accounting documentation of Mondo Internazionale Hub Association and Mondo Internazionale Hub Division by submitting a formal written request to the Director of Mondo Internazionale Hub, subject to the approval of Mondo Internazionale Hub Board of Directors.

7. All information that the Research Manager of Mondo Internazionale Hub deals with regarding Mondo Internazionale Association and its organization of internal and external activities is to be considered confidential and prohibited from disclosure. The same applies to the division of Mondo Internazionale Hub, in all its parts.

8. In the international context in which the division operates is identified as "Research Manager of Mondo Internazionale Hub".

9. The Research Manager of Mondo Internazionale Hub assumes full responsibility in carrying out the activities indicated and the burden of reparation to the Association Mondo Internazionale and the division in case of damage resulting from negligence and/or failure to perform their duties. He shall be liable civilly and criminally if the damage caused provides for the possibility of legal action against him. If the damage caused is attributable to the failure of the Director of Mondo Internazionale Hub to perform his duties, the latter shall be civilly and criminally liable for the actions of the Head of Research of Mondo Internazionale Hub.

Organization of the division

Article 14

MEMBERS

1. Those who intend to become members of Mondo Internazionale Hub division must be, at the time of submission of the request, Ordinary Members of Mondo Internazionale Hub Association; the request for association is made by written application through the form "become an Associate" on the mondointernazionale.com website. A self-certification must be inserted in the application form in which the candidate declares whether he has suffered criminal convictions or has criminal charges pending in Italy or abroad, specifying, if so, the crimes for which he has been convicted or is under investigation. It is also necessary to include the acceptance of rights for the protection of privacy and the assumption of all civil and criminal responsibility for any activity carried out within the Association, including the responsibility for what is disclosed in a personal capacity through Mondo Internazionale channels.

2. Specifying the provisions of art. 4 of the Statute of the Mondo Internazionale, the Steering Committee may appoint Ordinary Associates those who have particular expertise in the areas of interest to the Association's activities.

3. Ordinary Associates who resign in order to take up a paid position in the Association, at the end of such position, may apply for readmission as Ordinary Associates.

4. On the admission of the applications, referred to in the previous articles, the Steering Committee decides, with its own unquestionable judgement in the first meeting that it will hold after the submission of the application or in the immediately following one, if it is necessary to acquire further clarifications or cognitive elements. In order to simplify admission, the Steering Committee may elect by qualified majority a delegate from among its members to check and decide on applications for admission.

5. Ordinary and Honorary Members have the right to vote in the Assembly and also have the right to the active and passive electorate for the appointment of the Association's corporate offices. Ordinary and Honorary Associates may be represented at the Meeting by another ordinary Associate; no Associate, however, may hold more than three proxies. Proxies are not permitted for the election of the Steering Committee.
6. Members are required to pay the annual membership fee in the amount and in the manner established each year by the Board of Directors.
The actual admission is determined by an official e-mail certifying the association at Mondo Internazionale.

7. The status of associate is lost in the cases provided for in Article 5 of the Statute. The exclusion of an Associate from the Association is deliberated by the Assembly on the proposal of the Steering Committee if the Associate does not comply with the provisions contained in the Statute, in these regulations and in any other act adopted by the bodies of the Association, or the resolutions taken by the competent bodies, carries out activities contrary to the interests of the Association, materially or morally damages it, foments disagreements and unrest among members, does not fulfill its obligations to the Association.

8. Cases of inefficient or harmful associates must be reported to the Presidency by each associate who becomes aware of them. The Secretary General, having carried out the preliminary activity in agreement with the Vice-President if necessary, reports in written form to the President who, during the meeting of the Steering Committee, will adopt the appropriate measures, also according to art. 5 of the Statute. In cases of absolute urgency, the President will take the appropriate initiatives in accordance with chapter 1 art. 3 of the Regulation of Mondo Internazionale Association.

9. The deceased or excluded member or the heirs of the deceased member have no right to repeat any fees paid, nor can they claim any rights on the movable and immovable property of the Association and they are required to meet the obligations validly assumed by the member in constant company relations.
10. The Ordinary Associate, who has not paid the fee, as provided for in paragraph 6 of this article, for a period of three months following two written reprimands by the Association made three months apart from each other, shall forfeit his title upon decision of the Steering Committee.

Article 15

ORGANIZATION

1. Mondo Internazionale Hub division aims to support Italian and international research by providing a hub open to all those who wish to start research projects in the sectors in which the Association Mondo Internazionale operates.

2. The general activities of the division are defined and planned annually by Mondo Internazionale Hub Board of Directors together with Mondo Internazionale Association Board of Directors.

3.. The Director of Mondo Internazionale Hub is responsible for implementing the guidelines established with the Board of Directors of Mondo Internazionale Hub Association, ensuring that they are followed by the Board of Directors of Mondo Internazionale Hub and all members participating in the activities of the division. The Director of Mondo Internazionale Hub operates under the supervision of the Director General of Mondo Internazionale Association.

4. The Board of Directors of Mondo Internazionale Hub carefully oversees the work of the Research Manager of each project initiated within the division. The Research Manager has the task of coordinating the members collaborating in the project and organizing the necessary work to ensure that the research project is carried out correctly and without interruption.

Article 16

LOGO

1. The logo of Mondo Internazionale Hub is:

The use of Mondo Internazionale Academy logo by any of its members must be authorized by the Board of Directors of Mondo Internazionale Academy. The logo must be reproduced faithfully in the characters and color. Mondo Internazionale Academy logo is protected in the same way as Mondo Internazionale Association logo.

2. This name and logo are protected in Italy and in the main foreign countries where the Association's and division's programs take place.

3. In the case of the "Mondo Internazionale - Nation" Associations, the logo indicated in chapter 7 art. 36 paragraph 1 of the Regulation of Mondo Internazionale Association provides for the addition of the reference "Nation".

Article 17

ACTIVITIES

1. The activity of Mondo Internazionale Hub is scheduled in annual cycles through work plans established by the Board of Directors of Mondo Internazionale Hub, the Board of Directors of Mondo Internazionale Hub Association and its Director General. Research Managers must adhere to established work plans.

2. In addition to research, the activities of Mondo Internazionale Hub may include the organization and participation in events and/or conferences of a formative and informative nature. These events must be organized by Mondo Internazionale Hub, accessible to all, without any discrimination. The procedures and criteria for participation in the events must be established in the appropriate place in accordance with the principles and values on which Mondo Internazionale Association is based. Mondo Internazionale Hub may organize such public events and/or conferences in concert with Mondo Internazionale Academy division, establishing a common program to be used as a reference for both divisions for the organization of the event and/or conference.

3. The Research Manager must supervise and coordinate the organization of events and/or conferences when they have as their object the research project coordinated by him/her.

4. The research activities Mondo Internazionale Hub also include the creation of articles and reports to be published on the website of Mondo Internazionale Association "mondointernazionale.com". The Board of Directors of Mondo Internazionale Hub must provide guidelines for the creation and drafting of articles and reports, which must be formulated under the supervision of the Research Managers, each for the project in question.

Use of the IT system

FOREWORD

The progressive diffusion of new information technologies, and in particular the free access to the Internet from Personal Computers, exposes Mondo Internazionale to the risks of both patrimonial and criminal involvement, creating problems for the security and image of the Association itself.

Considering therefore that the use of computer and telematic resources of our Association must always be inspired by the principle of diligence and correctness, behaviors that are normally adopted in the context of a working relationship, Mondo Internazionale has adopted an internal regulation aimed at avoiding that unconscious behavior could trigger problems or threats to Security in the processing of personal data.

THE AUTHORS

1. All those who are Ordinary Associates and carry out writing activities for the website of the Association of Mondo Internazionale on behalf of Mondo Internazionale Hub division are awarded the title of author.

2. This qualification can be used outside the Association and the division to describe the activity that the ordinary Associate carries out within them.

3. The title of author is not attributable to any editorial and/or journalistic reference.

4. The authors are members of the Authors Team as indicated in chapter 9 art. 53 of the Regulation of Mondo Internazionale Association.

Article 24

DISCLOSURE OF DOCUMENTS

1. Mondo Internazionale Hub documents can be requested by sending a formal written request to the Division's Board of Directors. The Director of Mondo Internazionale Hub must respond to the request according to the same modalities indicated for Mondo Internazionale Hub Association in chapter 9 art. 54 of the Regulation; if the latter is not possible, the Secretary will respond to the request on behalf of the Director.

2. The documents containing the strategies outlined by the Board of Directors of Mondo Internazionale Hub for the activities and projects that the division intends to develop cannot be made public.

Relations with third parties

Article 25

MANAGEMENT ACTIVITIES OF MONDO INTERNAZIONALE ACADEMY WITH THIRD PARTIES

1. The management of the activities of Mondo Internazionale Hub with third parties is attributed to the Director of Mondo Internazionale Hub, who operates on behalf of the division under the supervision of the Director General of Mondo Internazionale Hub Association, who is civilly and criminally responsible for the work of the Director of Mondo Internazionale Hub.

2. The Director of Mondo Internazionale Hub has the task of formulating collaboration agreements with third parties, respecting the rules established by the Association Mondo Internazionale on the subject. The formulation of the agreements takes place in concert with the External Relations Team of Mondo Internazionale Association.

3. The Director of Mondo Internazionale Hub has the duty to consult the Board of Directors of Mondo Internazionale Hub Association before giving consent to any partner and/or third-party body for the establishment of collaborations with Mondo Internazionale Hub and the creation of partnerships.

4. The formalization of the agreement is, in any case, signed directly by the President of Mondo Internazionale Association.

5. Any agreement entered into by the Director of Mondo Internazionale Hub without having consulted and informed in advance the Steering Committee of Mondo Internazionale Hub Association and/or without having received the signature of the President of Mondo Internazionale Hub Association is to be considered defective in form and, therefore, invalid under the present regulations.

6. The Director of Mondo Internazionale Hub has the task of keeping both the Director General and the Steering Committee of Mondo Internazionale Hub Association constantly updated on the performance of activities and collaborations with third parties.

Article 26

MEETINGS OF THE BOARD OF DIRECTORS OF MONDO INTERNAZIONALE HUB

The Board of Directors of Mondo Internazionale Academy meets once a month every month except January, August and December for management activities such as:

a. Resolve for activities with third parties;

b. Organize the management activities of the division;

c. Update yourself on the activities carried out by the Research Managers;

d. Make sure that the activities carried out follow the established guidelines;

e. Resolve on the admission of new members;

f. Arrange periodic updates for the Steering Committee of Mondo Internazionale Association.

Article 27

MEETINGS OF MEMBERS OF MONDO INTERNAZIONALE HUB

All members of Mondo Internazionale Hub, as associates of Mondo Internazionale, can take part in the General Assembly, which is convened once every three months.

Financing

Article 28

REQUEST

The possibility of requesting funding, from public and/or private entities, for Mondo Internazionale Hub must be considered by the the Steering Committee of Mondo Internazionale Association together with the Board of Directors of Mondo Internazionale Hub.

Article 29

ARRANGEMENTS FOR EVALUATION

1. The Board of Directors of Mondo Internazionale Hub, together with the Treasurer of Mondo Internazionale Hub Association, may consider applying for funding following a determination that it is impossible to self-finance or request funds from Mondo Internazionale Association. The proposal must, in any case, be examined by the Board of Auditors. Once approved, it is subject to a vote by the Steering Committee, which must approve it unanimously.

2. Within 10 days of the unanimous approval of the Steering Committee, the Treasurer of Mondo Internazionale Association must draw up a plan for the return from financing, explaining the timing and purpose of the financing. The plan must then be examined by the Board of Auditors and finally again by the Steering Committee, which must approve it unanimously.

3. No more than 60 days must elapse between the formal request and the last approval.

4. If the request is rejected, at least 90 days must elapse from the date of rejection to the date of a new formal request to the Chairman.

5. In case of approval, the President of Mondo Internazionale Association authorizes its Treasurer to proceed with the request for funding.

6. The Treasurer of Mondo Internazionale Association must then explain the financing plan to the Director of Mondo Internazionale Hub. The Steering Committee of Mondo Internazionale Association must verify, together with the Director of Mondo Internazionale Hub, that the financing obtained is used for the purposes provided for and in compliance with the provisions of the law of the Italian State, the Regulation and the Statute of Mondo Internazionale Association.

Article 30

DURATION

1. The maximum duration of a grant must be 36 months.

2. There is no minimum durability limit.

Article 31

MORTGAGES

It is strictly forbidden to impose mortgages for the financing of the members' movable and immovable property, whatever office they hold within the Association.

Article 32

ELIGIBILITY FOR FINANCING

1. All financing is eligible provided that it is issued by recognized financial companies or, alternatively, by institutional bodies.

2. Funding which does not reflect all the characteristics indicated and which has not followed the entire approval process is not eligible.

3. It is the responsibility of the Director of Mondo Internazionale Hub to ensure that funding reflects the criteria established by Mondo Internazionale Association prior to the submission of the application as provided in paragraph 1 of this article.

Article 33

EXCEPTIONAL CASES

The President of Mondo Internazionale Association, after consulting the Secretary General and the Treasurer of the same, may request in cases of extreme urgency that a meeting of the three bodies having the right to vote on matters of financing be convened in order to make a unanimous vote to request a necessary and urgent loan. The General Assembly must be convened within three days and at least 2/3 of those entitled to vote must be present for it to be valid.

Article 34

LIBERAL FINANCING

Liberal funding directed to Mondo Internazionale Hub is discussed and approved by a majority of the Steering Committee of Mondo Internazionale Association.

Discipline of the Board of Directors

1. Considering the importance of the Board of Directors of Mondo Internazionale Hub in the planning of the activities of the division and for the proper functioning of the same, disciplinary measures may be taken, in accordance with the principles expressed in the Code of Ethics of Mondo Internazionale Hub Association, to prevent and limit conduct and practices detrimental to the proper performance of the tasks assigned to the Board of Directors mentioned above.

2. If one or more members of the Board of Directors of Mondo Internazionale Hub should present behaviors and/or actions detrimental to the integrity of the body in question and to the proper performance of the tasks assigned to it, expulsion measures or, in the most serious cases, expulsion from the Board of Directors may be applied against the subject or subjects. Moreover, these measures can be applied for actions carried out by the members of the Board of Directors also outside of such seat, provided that they have occurred in relation to the carrying out of the activities, directly or indirectly, of Mondo Internazionale Association and that they have caused material and/or image damage to the same.

3. The following are considered unacceptable behavior by members of the Board of Directors of Mondo Internazionale Hub and subject to disciplinary action:

a. To damage the image of Mondo Internazionale Association and the division in front of the members and/or the external public through culpable or malicious actions;

b. Voluntary actions and/or behaviors aimed at negatively influencing professional relationships within the Association and the division, making it impossible to carry out the Association's activities correctly;

c. Prolonged absence, equal to 3 consecutive meetings, from the internal meetings of the Board of Directors. Absences of a member of the Board of Directors shall not be taken into account if the latter delegates another member of the Board to represent him/her at the meeting.

4. In the event that such conduct is detected by one or more members of the Board of Directors, the Steering Committee of Mondo Internazionale Association has the right to issue a formal warning to those who exhibit conduct liable to disciplinary action. The recall is issued or rejected by simple majority vote of the members present at the proposal of an individual member of the Board of Directors of Mondo Internazionale Hub Association, the Director General of the same or one or more members of the Board of Directors of Mondo Internazionale Hub:

a. The first warning represents a formal warning to end any behavior contrary to good conduct within the Board of Directors;

b. If a member of Mondo Internazionale Hub Board of Directors receives two reprimands, he or she is subject to removal from the Board for a period of 1 month. The expulsion from the Board of Directors provides for the suspension of the status of member of the Board, from which follows the loss of the right to vote and the possibility to participate in the meetings of the Board itself. The Board of Directors also has the right to prevent the suspended member from accessing the official communication channels of the Board of Directors.

c. If a member of the Board of Directors of Mondo Internazionale Hub in a definitive and irrevocable manner by the Board of Directors. Expulsion from the Board of Directors also means that it is impossible to be re-elected as a member of the Board. The Steering Committee reserves the right to adopt further disciplinary procedures if the subject maintains damaging behavior towards the Association and its members, in accordance with the internal rules of Mondo Internazionale Association.

5. If a member of Mondo Internazionale Hub Board of Directors is expelled for misconduct, the Board of Directors, with the approval of the Director General of Mondo Internazionale Hub Association, may add a new provisional member to its membership, who shall replace the expelled member until the Board of Directors of Mondo Internazionale Hub Association elects the next member. The proposal for the provisional member may be submitted by any member of the Board of Directors, the Director General of Mondo Internazionale Association or the Board of Directors of Mondo Internazionale Hub. The provisional member is appointed by the Steering Committee of Mondo Internazionale Association, which must approve the inclusion of the latter by qualified majority vote of its members. The provisional member designated by the Steering Committee is appointed by means of a formal letter of appointment, signed by the Steering Committee, which must be accepted without reservation.

Objectivity, transparency and impartiality of the research

1. The Steering Committee of Mondo Internazionale Hub Association can provide for verifications to check that the research projects within Mondo Internazionale Hub are carried out according to the criteria of objectivity, transparency and impartiality.

2. If it is deemed necessary to carry out such verifications, the Steering Committee of Mondo Internazionale Association appoints two members to assess the objectivity, transparency and impartiality of the research project. Members are selected on the basis of their theoretical and technical expertise in the subject of the research project in question, so that they are able to carry out the evaluation.

3. The chosen members must express an unambiguous assessment within 60 days of the initiation of the verification.

4. The results of the evaluation must be presented in the form of a written document to the Steering Committee of the World International Association.

5. If the evaluation expresses a positive opinion on the compliance with the three criteria mentioned above, the Steering Committee will only inform the Director of Mondo Internazionale Hub of the positive outcome of the evaluation.

6. If the evaluation expresses a negative opinion regarding compliance with one or more of the above criteria, the Board of Directors must convene urgently, within a maximum of 7 days of receipt of the evaluation, the Board of Directors of Mondo Internazionale Hub and the Research Manager of the project in question, which must meet in common. At the time of the meeting, the Board of Directors must explain to the Board of Directors and the Research Manager the negative outcome of the evaluation, deciding on what measures to take to make the research project compliant with the three criteria outlined and to prevent further violations of the same.

7. With regard to paragraph 6, if the failure to comply with the criteria is attributable to the negligence of the Director of Mondo Internazionale Hub or the Research Manager, the Steering Committee of Mondo Internazionale Association may consider whether to initiate disciplinary proceedings against them, according to the internal rules provided.

Further provisions

1. All information, activities, and strategies with which each member comes into contact are not divulged externally and may not be replicated.

2. The elected offices must respect all the contents of these regulations, the Articles of Association, the Regulation, the Ethical code and the Data Protection Regulations of Mondo Internazionale Association.

3. Each member is bound to respect the Statute, the Regulation, the Ethical code and the Data Protection Regulation of Mondo Internazionale Association and the resolutions of the assembly bodies provided for the carrying out of the associative activities.

4. Violations of the Articles of Association, the Regulation, the Ethical code, the Data Protection Regulation and these Regulations and the resolutions of the Association's assembly bodies shall be prosecuted in the appropriate venues.

5. Should an associate not be able to carry out the activities for which he or she is responsible and which are freely accepted in accordance with the provisions of the Regulation and these regulations, he or she shall be required to identify a substitute and/or to complete the activity in order not to hinder the activities of the association, except in exceptional cases identified by the Steering Committee.

6. In the event of damage caused to the Association and/or division that is due to negligence, disclosure of information to unauthorized persons, unforeseen resignation, everything related to damage done with intent and intent, the person in charge must repair the damage as soon as possible. In case of disputes, the Court of Milan shall have jurisdiction.
