DIVISION OF MONDO INTERNAZIONALE HUB

PREMESSA

Article 1

INSTITUTION

Mondo Internazionale Hub is established as a division of Mondo Internazionale Association, as established by art. 37 of the Single Regulations of the same. The division is under the direction of the Presidency, the Steering Committee and the General Manager.

Article 2

AIMS AND ACTIVITIES

Mondo Internazionale Hub is the division of the Mondo Internazionale Association for research anddevelopment activities in the field of innovation and sustainable development.

The Hub division of Mondo Internazionale specialises in developing research with a strong scientific focus on issues of social, economic and environmental sustainability, covering different but complementary areas to provide assessments, comprehensive analyses, forward-looking public policies and innovative and sustainable development models, supporting youth participation in institutional decision-making processes through lobbying and advocacy activities at local and national level. At the same time, Mondo Internazionale Hub also aims to support youth entrepreneurship in Italy and around the world, involving young students and entrepreneurs in training activities and international exchanges through specific long-term projects in collaboration with companies and start-ups, universities, institutions and trade associations. Mondo Internazionale HUB disseminates its research results through training events for public and private bodies and targeted initiatives in favour of the community and economic and social progress.

Mondo Internazionale Hub, in the interest of pursuing the above-mentioned objectives in the best possible way, is divided into two subsections: the Research and Development section, focused on research and the development of analyses, public policies, and reports, and the Business Development and Innovation section, focused on supporting youth entrepreneurship initiatives, cross-cultural exchanges, and commercial, economic, cultural and innovative cooperation activities in Italy and worldwide.

DIVISIONE HUB

Article 3

MEMBERS

Members of Mondo Internazionale Hub are all those who are regularly enrolled in Mondo Internazionale Association and whose application for membership in the division is successful.

CONSIGLIO DIRETTIVO

Article 4

MEMBERSHIP CRITERIA

The membership application in Mondo Internazionale Hub division may be made if the member meets the following requirements:

a. The candidate must have completed a three-year degree cycle or, alternatively, be enrolled in a specialist/Master's degree course or a Level I or II Master's degree issued by recognized university institutes. Foreign qualifications, artistic or musical, legally recognized and equivalent to a three-year degree, are also recognized. For candidates enrolled in single cycle degree courses, the candidate must be regularly enrolled in the 3rd year of the course. Applications are also valid for candidates enrolled in research doctorates in Italy or abroad at recognized university institutes.

b. The candidate must be a regular member of Mondo Internazionale Association at the time the application is submitted. The application for membership in the Mondo Internazionale Hub is assessed by the Director Division together with the General Director of Mondo Internazionale Association. The latter is required to consult in advance with the General Secretary and the Steering Committee. The membership application in Mondo Internazionale Hub must demonstrate the validity of the research and innovation skills and must contain a research project proposal accompanied by a letter of motivation.

c. In case of rejection, the application may be submitted again after 6 months from the submission of the last membership application in Mondo Internazionale Hub. It is possible to appeal in case of rejection to the President who is obliged to consult with the Steering Committee to re-examine the reasons for rejection.

Article 5

EXCLUSION CRITERIA FOR MEMBERS

The expulsion of members from the division of Mondo Internazionale Hub is regulated by Art. 5 of the Statue of Mondo Internazionale Association. The Board of Directors of Mondo Internazionale Association decides on the expulsion of the members of Mondo Internazionale Hub. The Steering Committee of Mondo Internazionale Association expresses itself in favor or against by a qualified majority of the members present at the vote, on the proposal of the Board of Directors of the division. In cases of absolute urgency, the President of Mondo Internazionale Association may take appropriate action, in accordance with the provisions of chapter 1 art. 1 of the Single Regulation of the Association itself.

Article 6

THE DIVISION BODIES

The division of Mondo Internazionale Hub carries out its activities under the supervision of the Board of Directors.

Article 7

MONDO INTERNAZIONALE HUB BOARD OF DIRECTORS

1. The Board of Directors of Mondo Internazionale Hub is composed by the Director, the Secretary and the Advisor of Mondo Internazionale Hub Division. The Board of Directors is appointed by the Steering Committee of Mondo Internazionale Association, which elects its members by qualified majority vote of its members. The Board of Directors is renewed every 2 years.

2. The Board of Directors of Mondo Internazionale Hub has the following tasks:

a. Resolves on decisions to be taken in relation to the management and organisation of the Mondo Internazionale Hub division;

b. Resolves on the entry of members into the division of Mondo Internazionale Hub;

c. It provides guidelines for the organisation and coordination of activities by the Head of Research and Development and the Head of Business Development and Innovation;

d. It organizes periodic meetings with the Steering Committee of Mondo Internazionale Association and, if requested, with the Board of Directors of Mondo Internazionale Academy;

e. To coordinate and supervise the activities of the Mondo Internazionale Hub in such a way that they do not in any way conflict with national regulations, the Statute and the Single Regulations of Mondo Internazionale Association.

f. It plans, deliberates and supervises the division's budget activities, in close contact with the Treasury of Mondo Internazionale Association;

g. The Board of Directors decides on the dissolution of Mondo Internazionale Hub together with the Steering Committee of Mondo Internazionale Association:

a. To dissolve the division, a first unanimous vote of the Board of Directors of the Mondo Internazionale Hub is required; if the vote is successful, the Board of Directors of the Mondo Internazionale Hub must present the dissolution motion to the Steering Committee of Mondo Internazionale Association;

b. The Steering Committee must approve the motion unanimously by those present at the vote, who must represent at least 2/3 of the total members of the Committee;

c. If the Steering Committee of Mondo Internazionale Association is also in favour of the dissolution, the Board of Directors of Mondo Internazionale Hub must proceed to communicate by official press release the dissolution of the division, which is published on the website of the Mondo Internazionale Hub Association;

d. In case of dissolution of Mondo Internazionale Hub, the Director of Mondo Internazionale Hub must initiate the dissolution procedure; the Director, together with the Board of Directors of Mondo Internazionale Hub, has the task of verifying that any remaining assets of Mondo Internazionale Hub are entrusted to Mondo Internazionale Association. The Board of Directors of Mondo Internazionale Association must then assess any returns to public and private entities that have disbursed funds to Mondo Internazionale Hub.

Article 8

DIRECTOR OF MONDO INTERNAZIONALE HUB

1. The Director of Mondo Internazionale Hub is appointed on the proposal of the General Manager of Mondo Internazionale Association and is elected by qualified majority vote of the Steering Committee of the same. The term of office is 2 years and is tacitly renewable. The Director may resign at any time by informing the Steering Committee of Mondo Internazionale Association in writing at least 90 days before the actual resignation, unless otherwise agreed between the Parties. If the Steering Committee of Mondo Internazionale Association deems it necessary, it may revoke the office of Director of Mondo Internazionale Hub by qualified majority, giving reasons for the decision in writing and communicating it through official channels. The decision of the Steering Committee shall take effect 3 days after the communication.

2. The Director must represent and maintain the national and international relations of Mondo Internazionale Hub with public and private bodies, institutions, international organizations, university institutes, supporters of the division and volunteers.

3. The Director must have leadership skills, i.e. the ability to identify the most important problems and to guide the Board of Directors with objectivity and balance, favouring the contribution of the Advisor, as well as assisting the Board of Directors in decisions of an urgent nature.

4. The Director shall:

a. Ensure the proper functioning of the Board of Directors and represent its positions within and outside the Division;

b. Ensure compliance with the law and internal rules;

c. Represent but not replace the Board of Directors in dictating objectives or placing constraints on staff, except in cases of urgency;

d. Delegate its functions to the Advisor, if necessary, while continuing to answer for them;

e. Maintain constant contact with the Steering Committee and the General Manager of Mondo Internazionale Association to coordinate the activities of the division;

f. Monitor the correct use of any form of funding provided to Mondo Internazionale Hub, ensuring that the funds available are used in the performance of the activities provided for and protected from any potentially illegal and/or harmful activity in accordance with applicable law and the internal regulations of Mondo Internazionale Association;

g. Coordinate the Research and Development Head, the Business Development and Innovation Head and the Project Managers of Mondo Internazionale Hub;

h. Coordinate the Research Managers of Mondo Internazionale Hub;

i. Manage the formulation of collaboration agreements with partners and/or third parties;

l. Propose the dissolution of the division at the meeting of the Board of Directors of the Mondo Internazionale Hub;

m. to act as the Chairman of the Members Meeting.

5. At the end of his or her term of office, the Director shall remain in office for ordinary administration until the Steering Committee elects a successor.

6. A third party liability policy must be taken out for the Director covering the risks inherent in his role as representative of the division, as soon as the financial resources of the Mondo Internazionale Association allow it.

7. The Director, in case of absolute urgency to comply with current regulations, shall take all necessary measures, replacing the Board of Directors for a limited time. The Director has 30 days to provide a report on what has happened to the Board of Directors and refer the decisions to the Board of Directors, which must decide by qualified majority on the Director's work. If the regulations in force have been unequivocally violated by a member of the Board of Directors, the latter must be immediately excluded from any activity of the Association and of the Board pending a decision by the Steering Committee of Mondo Internazionale Association on the measures to be taken in consultation with the Assembly of the Members. The Director has the task of submitting a written report informing each member of the Steering Committee of Mondo Internazionale Association of what has happened, within 3 days from the exclusion of the member.

8. The Director may have access, subject to authorization of the President of Mondo Internazionale Association, or on his behalf of the Vice President, to all documents; software, computer and no-computer programs in admin mode; bank accounts; safe-deposit boxes; the registered and/or operational headquarters of the Association and any movable and immovable property of the Association limited to the performance of its functions and duties.

9. All information that the Director of Mondo Internazionale Hub deals with regard to Mondo Internazionale Association and its organization of internal and external activities is to be considered confidential and prohibited from disclosure. The same applies to the division of Mondo Internazionale Hub, in all its parts.

10. In the international context in which the division operates is identified as "Director of Mondo Internazionale Hub".

11. The Director assumes full responsibility in the performance of the activities indicated and the burden of reparation towards Mondo Internazionale Association and the division in case of damages resulting from negligence and/or failure to perform his duties. He is liable civilly and criminally if the damage caused provides for the possibility of recourse to legal action against him. If the damage caused is attributable to the failure of the General Manager of Mondo Internazionale Hub Association to perform his duties, the latter shall be civilly and criminally liable for the actions of the Director of the Mondo Internazionale Hub.

SEZIONE RESEARCH AND DEVELOPMENT

Article 9

SECRETARY OF MONDO INTERNAZIONALE HUB

1. The Secretary of the Mondo Internazionale Hub is appointed at the proposal of the General Manager of Mondo Internazionale Association and is elected by qualified majority vote of the Steering Committee of the same. The term of office lasts 2 years and is tacitly renewable. The Secretary may resign at any time by informing the Steering Committee of Mondo Internazionale Association in writing 90 days before the actual resignation, unless otherwise agreed by the Parties. If the Steering Committee deems it necessary, it may revoke the office of Secretary by qualified majority, giving reasons for the decision in writing and communicating it through official channels. The decision of the Steering Committee shall take effect as from 3 days after the communication.

2. The Secretary is responsible for coordinating and managing the general administration of the Mondo Internazionale Hub together with the Director.

3. The Secretary shall act with the powers expressly delegated to him by these Regulations. The Secretary shall:

a. Provide the Board of Directors with scenarios on the future of the division and strategies for its development;

b. Protect the image and credibility of Mondo Internazionale Hub;

c. Refuse donations incompatible with the purposes of the association;

d. Avoid purchases or decisions in conflict of interest;

e. Set remuneration and benefits for employees within the usual limits for the professionalism employed and in compliance with current labour regulations, to guarantee the safety of the offices in accordance with the rules laid down by Italian law, jointly consulting the Director and the Advisor;

f. Implement the policy resolutions formulated by the Board of Directors, in consultation with the Director and the Advisor and respond to the results achieved;

g. Freely choose the most suitable instruments to achieve the objectives set by the Board of Directors;

h. Propose to the Board of Directors an Annual Plan and a Three-Year Plan for the planning of activities, according to the objectives formulated by the Board of Directors;

i. Inform the General Manager of Mondo Internazionale Association, the Director of Mondo Internazionale Hub, or in his absence the Advisor , and the Steering Committee in particular of the most relevant events and trends, the opinions that may influence their decisions, the situations in which the Board of Directors deviates from its previous guidelines and informs the Director, in his absence the Advisor , of the topics that it would be appropriate, in his opinion, to put on the agenda;

l. Maintain relations with the other divisions and with all public and private bodies with which it is appropriate to collaborate in order to achieve the objectives set by the Board of Directors, in compliance with the law and confidentiality;

m. Be responsible for the work of the staff and to manage it in compliance with the rules established by the Steering Committee of Mondo Internazionale Association and the employment contracts. It shall not prevent any employee from addressing the Board of Directors of Mondo Internazionale Hub or the Presidency of Mondo Internazionale Association to report violations of internal regulations;

n. Set up Commissions with operational tasks in execution of resolutions of the Board of Directors with the consent of the Director, or in the absence of the Advisor;

o. Ensure that the Director and the Advisor are aware of basic issues and procedures of his work, so that he may be temporarily replaced if necessary and must inform the General Manager of Mondo Internazionale Association periodically, except in urgent cases;

p. Draw up the appointments necessary for the conferral of offices within the Mondo Internazionale Hub, with the consent of the General Manager of Mondo Internazionale Association and the Director of Mondo Internazionale Hub, or in his absence of the Advisor.

4. The Board of Directors also grants the following powers to the Secretary, to be exercised by joint signature with the General Manager of the Mondo Internazionale Association and the Director of Mondo Internazionale Hub, or on his behalf the Advisor:

a. Make purchases as part of the activities of the division, committing the Mondo Internazionale Association for all rights and obligations that may derive from it, within the limits of the programs approved by the Steering Committee of Mondo Internazionale Association and subject to authorization by the General Manager of the same;

b. Define the specific skills of employees and external collaborators;

c. Hire, promote, suspend and dismiss personnel within the division;

d. Provide for the payment of periodic salary payments to employees of the division, as well as contributions and related compulsory fulfilments;

e. Implement all accident prevention measures to protect the division's employees and collaborators, adopting all necessary precautions and providing them with the necessary training in order to avoid and prevent any possible generic or specific risk to which they may be exposed;

f. Deal with assistance and consultancy relationships with professionals of continuous or occasional duration and involving legal, administrative, fiscal, technical, promotional, etc. issues to be proposed for signature to the Director;

g. Adopt all necessary measures to prevent violations of the obligation of privacy with the right to appoint data processors responsible for the processing of personal data;

h. Perform any other act within the ordinary administration, according to the programs and within the spending limits approved by the Board of Directors of Mondo Internazionale Hub and the Steering Committee of the Mondo Internazionale Association.

6. The Secretary may have access, with the prior permission of the President of Mondo Internazionale Association, or in his place of the Vice-President, and the Director of Mondo Internazionale Hub, to all documents; software, computer and no-computer programs in admin mode; the bank account; the registered and/or operational headquarters of the Association; and any movable and immovable property of the Association limited to the performance of its functions and duties.

7. All information that the Secretary of the Mondo Internazionale Hub discusses about Mondo Internazionale Association and its organization of internal and external activities is to be considered confidential and prohibited from disclosure. The same applies to the division of Mondo Internazionale Hub, in all its parts.

8. In the international context in which the division operates, it is identified as the "Secretary of Mondo Internazionale Hub".

9. The Secretary assumes full responsibility in the performance of the activities indicated and the burden of reparation towards Mondo Internazionale Association and the division in case of damages resulting from negligence and/or failure to perform his duties. He shall be liable civilly and criminally if the damage caused provides for the possibility of recourse to legal action against him. If the damage caused is attributable to the failure of the General Manager of Mondo Internazionale Association to perform his duties, the latter shall be civilly and criminally liable for the actions of the Secretary of the Mondo Internazionale Hub.

Article 10

MONDO INTERNAZIONALE HUB ADVISOR

1. The Advisor of Mondo Internazionale Hub is appointed on the proposal of the General Manager of Mondo Internazionale Association and is elected by qualified majority vote of the Steering Committee of the same. The term of office lasts 2 years and is tacitly renewable. The Advisor may resign at any time by informing the Steering Committee in writing 90 days before the actual resignation, unless otherwise agreed between the Parties. If the Steering Committee deems it necessary, it may revoke the office of Advisor by qualified majority, giving reasons for the decision in writing and communicating it through official channels. The decision of the Steering Committee shall take effect 3 days after the communication.

2. The Advisor shall support the work of the Director of Mondo Internazionale Hub by providing advice on decisions to be taken in the Board of Directors and on the implementation of the guidelines provided by the General Manager and the Steering Committee of Mondo Internazionale Association.

3. The Advisor shall:

a. Support the Director in the elaboration and implementation of the operational directives for the activities of the division;

b. Support the Secretary in organising the administration of the division;

c.Supervise the management and conduct of activities organised by the division of Mondo Internazionale Hub and the Research and Development and Business Development and Innovation sections;

d. Coordinate the organization of events and conferences;

e. Participate in national and international meetings of an operational nature where it is necessary to plan the division's activities and replace the Director if necessary;

f. Monitor the work of the internal work teams at Mondo Internazionale Hub.

4. The Advisor may have access, with the prior authorization of the President of Mondo Internazionale Association, or on his behalf of the Vice-President, and the Director of Mondo Internazionale Hub, to documentation; software, computer and no-computer programs in admin mode; the registered and/or operational headquarters of the Association; and any movable and immovable property of the Association limited to the performance of its functions and duties.

5. All information that the Advisor of Mondo Internazionale Hub deals with regard to Mondo Internazionale Association and its organization of internal and external activities is to be considered confidential and prohibited from disclosure. The same applies to the division of Mondo Internazionale Hub, in all its parts.

6. In the international context in which the division operates, it is identified as "Advisor of Mondo Internazionale Hub".

7. The Advisor assumes full responsibility in the performance of the activities indicated and the burden of reparation towards Mondo Internazionale Association and the division in case of damages resulting from negligence and/or failure to perform his duties. He is liable civilly and criminally if the damage caused provides for the possibility of recourse to legal action against him. If the damage caused is attributable to the failure of the General Manager of Mondo Internazionale Association to perform his duties, the latter shall be civilly and criminally liable for the actions of the Advisor of Mondo Internazionale Hub.

Article 11

PROJECT MANAGER

1. The Project Manager of Mondo Internazionale Hub is appointed by the Board of Directors of Mondo Internazionale Hub on the proposal of the Director of Mondo Internazionale Hub and the Head of Section, Research and Development or Business Development and Innovation, to which the Project belongs. The Board of Directors of the Mondo Internazionale Hub appoints the Project Manager of the Mondo Internazionale Hub by a qualified majority vote of its members. The mandate lasts 2 years and can be renewed. The Project Manager of Mondo Internazionale Hub may resign at any time, informing the Director of Mondo Internazionale Hub in writing at least 60 days before the effective resignation, unless otherwise agreed between the parties. Should the Board of Directors of Mondo Internazionale Hub deem it necessary, it may revoke the position of Project Manager of Mondo Internazionale Hub by a qualified majority, giving reasons for the decision in writing and communicating it through official channels. The decision of the Board of Directors takes effect 3 days after the communication.

2. The Project Manager of Mondo Internazionale Hub may appoint two Deputy Project Managers of Mondo Internazionale Hub who can perform the same functions as him when he cannot be present or who act as support for the project activities. If the Deputy Project Manager assumes the powers and duties of the Project Manager, he/she also assumes responsibility for actions taken during his/her period of management. The Deputy Project Manager of Mondo Internazionale Hub is appointed by the Project Manager of Mondo Internazionale Hub in agreement with the Section Manager to whom the project belongs, subject to the approval of the Board of Directors of Mondo Internazionale Hub. The term of office is 2 years and can be renewed. The Deputy Project Manager of Mondo Internazionale Hub may resign at any time, informing the Project Manager of Mondo Internazionale Hub in writing at least 60 days before the actual resignation, unless otherwise agreed between the parties. Should the Board of Directors of Mondo Internazionale Hub deem it necessary, it may, by qualified majority, revoke the position of Deputy Project Manager of Mondo Internazionale Hub, giving reasons for the decision in writing and communicating it through official channels. The decision of the Board of Directors takes effect 3 days after the communication.

3. The Project Manager of Mondo Internazionale Hub is responsible for initiating and coordinating specific projects within the Section, Research and Development or Business Development and Innovation, and the respective areas and activities of Mondo Internazionale Hub. It is the task of the Project Manager to assess, together with the Section Manager and the board of directors of Mondo Internazionale Hub, that the project initiated does not conflict with the established guidelines. If provided for in the project, the Project Manager must provide support for the development and implementation of the project on the national and international territory, interfacing with any public or private bodies and individuals included in the project. The Project Manager of the Mondo Internazionale Hub supervises the entire team working within the project in coordination with the Section Manager.

4. The Research Manager must take care of the image of Mondo Internazionale Association and of Mondo Internazionale Hub in the exercise of its functions, operating in the most transparent and objective way possible.

5. The Research Manager has the duty to protect any sensitive information and/or data belonging to Mondo Internazionale Association and Mondo Internazionale Hub during the performance of his duties.

6. The Research Manager, if necessary, may request to consult the legal, operational and accounting documentation of Mondo Internazionale Association and of Mondo Internazionale Hub Division by submitting a formal written request to the Director of the Mondo Internazionale Hub, subject to the approval of the Steering Committee of Mondo Internazionale Association.

7. All the information that the Research Manager of Mondo Internazionale Hub deals with regarding to Mondo Internazionale Association and its internal and external activities is to be considered confidential and prohibited from disclosure. The same applies to the division of Mondo Internazionale Hub, in all its parts.

8. In the international context in which the division operates, it is identified as "Research Manager of Mondo Internazionale Hub".

9. The Research Manager of Mondo Internazionale Hub assumes full responsibility in the performance of the activities indicated and the burden of reparation towards Mondo Internazionale Association and the division in case of damage resulting from negligence and/or default in the performance of their duties. He shall be liable civilly and criminally if the damage caused provides the possibility of recourse to legal action against him. If the damage caused is attributable to the failure of the Director of Mondo Internazionale Hub to perform his duties, he shall be liable civilly and criminally for the actions of the Research Manager of Mondo Internazionale Hub.

Article 12

ANALYST

1. The Analyst of Mondo Internazionale Hub is appointed by the Board of Directors of Mondo Internazionale Hub on the proposal of the Director of Mondo Internazionale Hub and the Head of Research and Development or Head of Business Development and Innovation. The Board of Directors of Mondo Internazionale Hub appoints the Analyst by a qualified majority vote of its members. The term of office is 2 years and may be renewed. The Analyst of Mondo Internazionale Hub may resign at any time, informing the Director of Mondo Internazionale Hub in writing at least 60 days before the actual resignation, unless otherwise agreed between the parties. Should the Board of Directors of Mondo Internazionale Hub deem it necessary, it may revoke the position of Analyst by a qualified majority, giving reasons for the decision in writing and communicating it through official channels. The decision of the Board of Directors takes effect 3 days after the communication.

2. Members of active projects within the Hub Division are identified as Analysts. This appointment is declined according to the active project to which the Analyst belongs, as follows:

a) Policy Analyst

The Policy Analyst has the task of actively contributing to the activities of analysis, research and drafting of public policies carried out by Mondo Internazionale HUB, following the guidelines provided by the Project Manager, the Research and Development Head and the Board of Directors of Mondo Internazionale HUB.

b) Business Development and Innovation Analyst ("B&D Analyst")

The Business Development and Innovation Analyst has the task of actively contributing to the activities and initiatives in support of youth entrepreneurship in the field of innovation, multiculturalism and sustainable development carried out by Mondo Internazionale HUB, following the guidelines provided by the Project Manager, the Head of Business Development and Innovation and the Board of Directors of Mondo Internazionale HUB.

3. Depending on the different experiences gained by the Analysts, at a professional, academic and personal level, and depending on the skills and competences recognised, it is possible to identify within the different projects a vertical organisation of the Analysts based on the level of Seniority. The Analysts would thus be divided into Senior Analysts and Junior Analysts, as follows:

a) Senior Analyst

The Senior Analyst operates in the work areas of the project to which he/she belongs, following the guidelines outlined by the reference section (Research and Development or Business Development and Innovation) and the Board of Directors of Mondo Internazionale Hub. This figure is appointed in the presence of proven analytical skills, a high degree of autonomy in carrying out the activities of analysis and in the presence of a high degree of objectivity and impartiality within the same. One or more Senior Researchers may be appointed according to the internal organisation of Mondo Internazionale Hub activities.

The Senior Analyst must:

i. Supervise and coordinate the activities carried out by Junior Analysts in relation to the area of research and analysis assigned to his/her competence and responsibility;

ii. Provide guidelines, established by the Project Manager, the Head of Research and Development or Head of Business Development and Innovation and the Board of Directors, for the conduct of activities within the area of competence;

iii. Play, when required, an advisory role and support the Board of Directors for decisions to be taken on the development and evolution of the activities and work of the project to which it belongs.

b) Junior Analyst

The Junior Analyst has the task of actively contributing to the activities and work of his/her project within Mondo Internazionale Hub, carefully following the guidelines provided by the Board of Directors, the Section Managers, the Project Manager and the Senior Researchers.

The Junior Analyst must:

i. Assist the Senior Researcher and Project Manager in analytical activities and preparatory work for the relevant project;

ii. Provide opinions, considerations and recommendations to develop and enhance the work carried out within the project to which they belong;

iii. Contribute to developing the Hub Division network.

The Junior Analyst may be promoted to Senior Analyst upon proposal and approval by simple majority of the Board of Directors of Mondo Internazionale Hub if he/she demonstrates proven experience, at a professional, academic and personal level and possesses skills and competences recognised as fundamental to the project to which he/she belongs.

This classification based on Seniority is additional and complementary to the existing classification of the project within which the Analyst works.

4. The Analyst must take care of the image of the Mondo Internazionale Association and the Mondo Internazionale Hub in the performance of his/her duties, operating as transparently and objectively as possible.

5. The Analyst has a duty to protect any sensitive information and/or data belonging to the Mondo Internazionale Association and Mondo Internazionale Hub during the performance of his/her duties.

6. The Analyst may, where necessary, request to consult the legal, operational and accounting documentation of the Mondo Internazionale Association and the Mondo Internazionale Hub division by making a formal, written request to the Director of Mondo Internazionale Hub, subject to the approval of the Mondo Internazionale Steering Committee.

7. All information that the Analyst deals with concerning the Mondo Internazionale Association and its organisation of internal and external activities shall be deemed confidential and shall not be disclosed. The same applies to the Mondo Internazionale Hub division, in all its parts.

8. In the international context in which the division operates, he/she is identified as "Senior/Junior Policy Analyst of Mondo Internazionale Hub" or "Senior/Junior Business Development and Innovation Analyst of Mondo Internazionale Hub" depending on the project to which the Analyst belongs and depending on the level of Seniority assigned.

9. The Analyst assumes full responsibility in the performance of the activities indicated and the burden of reparation to the Mondo Internazionale Association and the division in the event of damage resulting from negligence and/or failure to perform his/her duties. He is liable under civil and criminal law if the damage caused involves legal action against him. If the damage caused is attributable to failure to perform the duties of the Mondo Internazionale Hub Director or Section Manager, the latter shall be liable under civil and criminal law for the actions of the Analyst.

Article 13

AIMS AND ACTIVITIES

The Research and Development section of the Mondo Internazionale Hub represents the Division's section for the drafting and promotion of public policies and research activities carried out in the field of innovation and sustainable development.

The Research and Development section specialises in developing research with a strong scientific slant on issues concerning social, economic and environmental sustainability, covering different but complementary areas to provide assessments, comprehensive analyses, forward-looking public policy models and innovative and sustainable development models, supporting youth participation in institutional decision-making processes through lobbying and advocacy activities at local and national level.

The Research and Development section disseminates its research results through training events for public and private bodies, advocacy and lobbying activities, and targeted initiatives, in order to contribute to the formulation and design of public policies in favour of the community and of economic and social progress in Italy and in Europe.

Article 14

THE HEAD OF RESEARCH AND DEVELOPMENT

1. The Head of Research and Development of Mondo Internazionale Hub is appointed by the Board of Directors of Mondo Internazionale Hub on the proposal of the Director General of Mondo Internazionale and the Steering Committee. The Board of Directors of the Mondo Internazionale Hub appoints the Head of Research and Development of the Mondo Internazionale Hub by a qualified majority vote of its members. The term of office is 2 years and may be renewed. The Head of Research and Development of Mondo Internazionale Hub may resign at any time, informing the Director of Mondo Internazionale Hub in writing at least 90 days before the effective resignation, unless otherwise agreed between the parties. Should the Board of Directors of Mondo Internazionale Hub deem it necessary, it may, by qualified majority, revoke the position of Head of Research and Development, giving reasons for the decision in writing and communicating it through official channels. The decision of the Board of Directors takes effect 3 days after the communication.

2. The Head of Research and Development of the Mondo Internazionale Hub may appoint two Deputy Heads of Research and Development of the Mondo Internazionale Hub to carry out the same functions when he/she is unable to be present or to support the activities of the project. If the Deputy Head assumes the powers and duties of the Research and Development Head, he/she also assumes responsibility for the actions taken during his/her period of management. The Deputy Head of Research and Development of Mondo Internazionale Hub is appointed by the Board of Directors of Mondo Internazionale Hub on the advice of the Head of Research and Development of Mondo Internazionale Hub, subject to the approval of the Director General of Mondo Internazionale. The term of office is 2 years and may be renewed. The Deputy Head of Research and Development of Mondo Internazionale Hub may resign at any time, informing the Head of Research and Development of Mondo Internazionale Hub in writing at least 60 days before the effective resignation, unless otherwise agreed between the parties. Should the Board of Directors of Mondo Internazionale Hub deem it necessary, it may revoke the position of Deputy Head of Research and Development of Mondo Internazionale Hub by a qualified majority, giving reasons for the decision in writing and communicating it through official channels. The decision of the Board of Directors takes effect 3 days after the communication.

3. The Head of Research and Development of Mondo Internazionale Hub is responsible for initiating and coordinating specific projects within the research areas and activities of the Research and Development section of Mondo Internazionale Hub. It is the responsibility of the Head of Research and Development to assess, together with the Board of Directors of Mondo Internazionale Hub, that the Research and Development section projects undertaken do not conflict with established guidelines. The Research and Development Head must provide support to the Project Managers in the development and implementation of projects in the national and international territory, interfacing with any public or private bodies and individuals included in the project. The Research and Development Head of the Mondo Internazionale Hub supervises the Project Managers of the Research and Development Division and their respective teams.

4. The Head of Research and Development must look after the image of the Mondo Internazionale Association and the Mondo Internazionale Hub in the performance of his or her duties, operating as transparently and objectively as possible.

5. The Head of Research and Development has a duty to protect any sensitive information and/or data belonging to the Mondo Internazionale Association and Mondo Internazionale Hub during the performance of his/her duties.

6. The Head of Research and Development may, if necessary, request to consult the legal, operational and accounting documentation of the Mondo Internazionale Association and the Mondo Internazionale Hub division by making a formal, written request to the Director of Mondo Internazionale Hub, subject to approval by the Steering Committee of Mondo Internazionale.

7. All information that the Head of Research and Development of Mondo Internazionale Hub deals with concerning the Mondo Internazionale Association and its organisation of internal and external activities is to be considered confidential and may not be divulged. The same applies to the division of Mondo Internazionale Hub, in all its parts.

8. In the international context in which the division operates, he is identified as the "Research and Development Manager of Mondo Internazionale Hub".

9. The Research and Development Head of Mondo Internazionale Hub assumes full responsibility in carrying out the activities indicated and the burden of reparation towards the Mondo Internazionale Association and the division in the event of damage resulting from negligence and/or failure to perform his or her duties. He is liable under civil and criminal law if the damage caused involves legal action against him. If the damage caused is attributable to the failure of the Director of Mondo Internazionale Hub to perform his or her duties, the latter shall be liable under civil and criminal law for the actions of the Head of Research and Development of Mondo Internazionale Hub.

10. The deputy head of Research and Development of Mondo Internazionale Hub assumes full responsibility for carrying out the activities indicated and the burden of reparation towards the Mondo Internazionale Association and the division in the event of damage deriving from negligence and/or failure to carry out his or her duties. He is liable under civil and criminal law if the damage caused involves legal action against him. If the damage caused is attributable to the failure of the Head of Research and Development of Mondo Internazionale Hub to perform his or her duties, the latter shall be liable under civil and criminal law for the actions of the Head of Research and Development of Mondo Internazionale Hub.

Article 15

AIMS AND ACTIVITIES

The Business Development and Innovation section of Mondo Internazionale Hub represents the Division's section for the promotion of activities and initiatives to support young entrepreneurship carried out in the field of innovation, multiculturalism and sustainable development.

The Research and Development section focuses on supporting commercial, economic, cultural and innovative cooperation initiatives and activities in Italy and around the world, involving young students and entrepreneurs in training and international exchange activities through specific long-term projects in collaboration with companies and start-ups, universities, institutions and trade associations.

The Business Development and Innovation section offers its members training and development opportunities, stimulating the growth of their human capital and cross-cultural exchange, thus reserving a central role to young people in supporting bridges and innovative synergies between Italy and the selected third countries.

SEZIONE BUSINESS DEVELOPMENT AND INNOVATION

Article 16

THE HEAD OF BUSINESS DEVELOPMENT AND INNOVATION

  1. The Head of Business Development and Innovation of Mondo Internazionale Hub is appointed by the Board of Directors of Mondo Internazionale Hub on the proposal of the Director General of Mondo Internazionale and the Steering Committee. The Board of Directors of Mondo Internazionale Hub appoints the Head of Business Development and Innovation of Mondo Internazionale Hub by a qualified majority vote of its members. The mandate lasts for 2 years and can be renewed. The Head of Business Development and Innovation of Mondo Internazionale Hub may resign at any time, informing the Director of Mondo Internazionale Hub in writing at least 90 days before the effective resignation, unless otherwise agreed between the parties. If the Deputy Head assumes the powers and duties of the Head of Business Development and Innovation, he/she also assumes responsibility for the actions taken during his/her period of management. The Deputy Head of Business Development and Innovation of Mondo Internazionale Hub is appointed by the Board of Directors of Mondo Internazionale Hub on the advice of the Head of Business Development and Innovation of Mondo Internazionale Hub, subject to the approval of the Director General of Mondo Internazionale. The mandate lasts 2 years and can be renewed. The Deputy Head of Business Development and Innovation of Mondo Internazionale Hub may resign at any time, informing the Head of Business Development and Innovation of Mondo Internazionale Hub in writing at least 60 days before the effective resignation, unless otherwise agreed between the parties. It is the responsibility of the Head of Business Development and Innovation to assess, together with the Board of Directors of Mondo Internazionale Hub, that the projects of the Business Development and Innovation section undertaken do not conflict with the established guidelines. The Head of Business Development and Innovation must provide support to the Project Managers in the development and implementation of projects in the national and international territory, interfacing with any public or private bodies and individuals included in the project itself. The Head of Business Development and Innovation of the Mondo Internazionale Hub supervises the Project Managers of the Business Development and Innovation Division and their respective teams.
  4. The Head of Business Development and Innovation must take care of the image of the Mondo Internazionale Association and the Mondo Internazionale Hub in the performance of his/her duties, operating as transparently and objectively as possible.
  5. The Head of Business Development and Innovation has a duty to protect any sensitive information and/or data belonging to the Association Mondo Internazionale and Mondo Internazionale Hub during the performance of his/her duties.
  6. The Head of Business Development and Innovation may, if necessary, request to consult the legal, operational and accounting documentation of the Mondo Internazionale Association and the Mondo Internazionale Hub division by forwarding a formal written request to the Director of Mondo Internazionale Hub, subject to the approval of the Steering Committee of Mondo Internazionale.
  7. All information handled by the Business Development and Innovation Head of Mondo Internazionale Hub concerning the Mondo Internazionale Association and its organisation of internal and external activities is to be considered confidential and may not be divulged. The same applies to the division of Mondo Internazionale Hub, in all its parts.
  8. In the international context in which the division operates, he/she is identified as "Business Development and Innovation Manager of Mondo Internazionale Hub".
  9. The Business Development and Innovation Head of Mondo Internazionale Hub assumes full responsibility in carrying out the activities indicated and the burden of reparation towards the Mondo Internazionale Association and the division in the event of damage deriving from negligence and/or non-compliance in carrying out his or her duties. He is liable under civil and criminal law if the damage caused involves legal action against him. If the damage caused is attributable to failure to perform the duties foreseen for the Director of Mondo Internazionale Hub, the latter shall be civilly and criminally liable for the actions of the Head of Business Development and Innovation of Mondo Internazionale Hub.
  10. The Deputy Head of Business Development and Innovation of Mondo Internazionale Hub assumes full responsibility for carrying out the activities indicated and the burden of reparation towards the Mondo Internazionale Association and the division in the event of damage deriving from negligence and/or failure to carry out his or her duties. He is liable under civil and criminal law if the damage caused involves legal action against him. In the event that the damage caused is attributable to failure to perform the duties envisaged for the Head of Business Development and Innovation of Mondo Internazionale Hub, the latter shall be liable under civil and criminal law for the actions of the Head of Business Development and Innovation of Mondo Internazionale Hub.

Article 17

MEMBERS

1. Those who intend to become Members of the Hub division of Mondo Internazionale must be, at the time of submitting the application, Ordinary Members of Mondo Internazionale Association; the application for the association is made by written application using the "become an Associate" form on mondointernazionale.com website. A self-certification must be inserted in the association request form in which the candidate declares whether he has suffered criminal convictions or has criminal charges pending in Italy or abroad, specifying, if so, the crimes for which he has been convicted or is under investigation. It is also necessary to include the acceptance of rights for the protection of privacy and the assumption of all civil and criminal responsibility for any activity carried out within the Association, including responsibility for what is disclosed in a personal capacity through Mondo Internazionale channels.

2. Specifying the provisions of art. 4 of the Statute of Mondo Internazionale, the Steering Committee may appoint Ordinary Members those who have particular expertise in the areas of interest to the Association's activities.

3. The Ordinary Members who submit their resignation in order to take up a paid position in the Association, at the end of such position, may apply for readmission as Ordinary Members.

4. The Steering Committee shall decide on the admission of applications, referred to in the previous articles, with its own unquestionable judgment at the first meeting that it shall hold after the submission of the application or at the one immediately following, should it be necessary to obtain further clarifications or information. In order to simplify admission, the Steering Committee may elect by qualified majority a delegate from among its members to check and decide on applications for admission.

5. Ordinary and Honorary Members have the right to vote in the Assembly and also have the right to the active and passive electorate for the appointment of the Association's corporate offices. Ordinary and Honorary Members may be represented at the Assembly by another Ordinary Member; however, no Member may hold more than three proxies. Proxies for the election of the Steering Committee are not allowed.
6. Members are required to pay the annual membership fee in the amount and in the manner established each year by the Steering Committee.
The actual admission is determined by an official e-mail certifying the association at Mondo Internazionale.

7. The status of associate is lost in the cases provided for in Article 5 of the Statute. The exclusion of an Associate from the Association is decided by the Assembly on the proposal of the Steering Committee if the Associate does not comply with the provisions contained in the Statute, in these regulations and in any other act adopted by the bodies of the Association, or the resolutions taken by the competent bodies, carries out activities contrary to the interests of the Association, materially or morally harms it, foments disagreements and unrest among members, does not fulfill its obligations to the Association.

8. Cases of inefficient or harmful associates must be reported to the Presidency by each associate who has knowledge of them. The General Secretary, having carried out the preliminary activity in agreement with the Vice-President if necessary, shall report in writing to the President who, during the meeting of the Steering Committee, will take appropriate measures, also in accordance with art. 5 of the Statute. In cases of absolute urgency, the President will take the appropriate initiatives in accordance with chapter 1 art. 3 of the Single Regulations of Mondo Internazionale Association.

9. The deceased or excluded member or the heirs of the deceased member have no right to repeat any fees paid, nor can they claim any rights on the movable and immovable property of the Association and they are obliged to meet the obligations validly assumed by the member during the ongoing relationship.

10. The Ordinary Member who has not paid the membership fee, as provided for in paragraph 6 of this article, for a period of three months following two written reprimands by the Association made three months apart from each other, shall forfeit his or her membership by decision of the Steering Committee.


11. Each member consents to the publication, use, reproduction, diffusion and transfer to the Association's partners of photographs, videos or other audiovisual materials made during the Association's activities and portraying them, by the Association and through its official channels. The photographic and audiovisual materials collected by the Association are used exclusively for the Association's activities and their promotion through the official communication channels of Mondo internazionale. Members may request, at any time, the elimination and deletion of photographic and audiovisual materials in which their image is portrayed and made public by the Mondo Internazionale Association, by sending written communication to the Legal consulting team of the same.

Article 18

ORGANIZATION

1. The Mondo Internazionale Hub division aims to support Italian and international research by providing a hub open to all those who wish to start research projects in the sectors in which Mondo Internazionale Association operates.

2. The general activities of the division are defined and planned annually by the Board of Directors of Mondo Internazionale Hub together with the Steering Committee of Mondo Internazionale Association.

3.. The Director of Mondo Internazionale Hub is responsible for implementing the guidelines established with the Steering Committee of Mondo Internazionale Association, ensuring that they are adhered to by the Board of Directors of Mondo Internazionale Hub and all members participating in the activities of the division. The Director of Mondo Internazionale Hub operates under the supervision of the General Manager of Mondo Internazionale Association.

4. The Board of Directors of Mondo Internazionale Hub closely supervises the work of the Research and Development Head, the Business Development and Innovation Head and the Project Manager of each project initiated within the division. The Project Manager is in charge of coordinating the members collaborating on the project and organising the work necessary for the research project to be carried out correctly and without interruption.

Article 19

BRAND LOGO

1. The logo of Mondo Internazionale Hub is is represented in every official channel and document of the division.

The use of Mondo Internazionale Hub logo by any of its members must be authorized by the Board of Directors of Mondo Internazionale Hub. The logo must be reproduced faithfully in the characters and color. The Mondo Internazionale Hub logo is protected in the same way as Mondo Internazionale Association logo.

2. This name and logo are protected in Italy and in the main foreign countries where the Association's and division's programs take place.

3. In the case of the "Mondo Internazionale - Nation" Associations, the logo indicated in chapter 7 art. 36 paragraph 1 of the Regulation of Mondo Internazionale Association provides for the addition of the reference "Nation".

Article 20

ACTIVITIES

1. The activities of the Mondo Internazionale Hub are programmed in annual cycles through work plans established by the Board of Directors of the Mondo Internazionale Hub, the Steering Committee of the Mondo Internazionale Association and the Director General of the same. The heads of Research and Development and Business Development and Innovation must adhere to the work plans established.

2. In addition to research, the activities of the Mondo Internazionale Hub may include the organisation and participation in events and/or conferences of an educational and informative nature. These events must be organised by the Mondo Internazionale Hub and be accessible to all, without discrimination. The methods and criteria for taking part in events must be established at the appropriate venue in accordance with the principles and values on which the Mondo Internazionale Association is founded. Mondo Internazionale Hub may organise such events and/or public conferences in concert with the Mondo Internazionale Academy division, establishing a common programme to be used as a reference for both divisions in organising the event and/or conference.

3. The Head of Research and Development, the Head of Business Development and Innovation and the Project Managers must supervise and coordinate the organisation of events and/or conferences if they relate to projects coordinated by them.

4. The research activities of Mondo Internazionale Hub also include the creation of publications and contributions of a scientific nature published on the official website of the Associazione Mondo Internazionale "mondointernazionale.org". The Board of Directors of Mondo Internazionale Hub must provide guidelines for the creation and drafting of reports, publications and evaluations, which must be formulated under the supervision of the Project Managers, the Research and Development Head and the Business Development and Innovation Head, depending on the project in question.

5. Mondo Internazionale Hub, in order to fulfil its purpose, provides services aimed at the development of research on innovation and sustainability issues and at the education of the community about them. These services include:

a. The development of research on the above themes through the analysis of multiple issues that are complementary and contribute to the formulation of public policy models that support a more sustainable and caring growth of society;

b. The drafting of scientifically-oriented information reports to provide the community with high-quality information and to support the dissemination of knowledge on the issues addressed;

c. The organisation of seminars, events and educational and informative conferences to support the division's mission;

d. The organisation of training courses and/or events at public or private institutions with the aim of educating and informing professionals and students on the issues of sustainable development and Corporate Social Responsibility (CSR).

Article 21

Article 26

DISCLOSURE OF DOCUMENTS

1. Mondo Internazionale Hub documents can be requested by sending a formal written request to the Division's Board of Directors. The Director of Mondo Internazionale Hub must respond to the request according to the same modalities indicated for Mondo Internazionale Hub Association in chapter 9 art. 52 of the Regulation; if the latter is not possible, the Secretary will respond to the request on behalf of the Director.

2. The documents containing the strategies outlined by the Board of Directors of Mondo Internazionale Hub for the activities and projects that the division intends to develop cannot be made public.

Article 27

MANAGEMENT ACTIVITIES OF MONDO INTERNAZIONALE HUB WITH THIRD PARTIES

1. The management of the activities of Mondo Internazionale Hub with third parties is attributed to the Director of Mondo Internazionale Hub, who operates on behalf of the division under the supervision of the General Manager of Mondo Internazionale Association, who is civilly and criminally responsible for the work of the Director of Mondo Internazionale Hub.

2. The Director of Mondo Internazionale Hub has the task of formulating collaboration agreements with third parties, respecting the rules established in the subject by Mondo Internazionale Association. The formulation of the agreements is done in concert with the External Relations Team of Mondo Internazionale Association.

3. The Director of Mondo Internazionale Hub has the duty to consult the Steering Committee of the Mondo Internazionale Association before giving consent to any partner and/or third party body for the establishment of collaborations with Mondo Internazionale Hub and the creation of partnerships.

4. The formalization of the agreement is, in any case, signed directly by the President of Mondo Internazionale Association.

5. Any agreement entered into by the Director of Mondo Internazionale Hub without having consulted and informed the Steering Committee of Mondo Internazionale Association in advance and/or without having received the signature of the President of Mondo Internazionale Association is to be considered defective in form and, therefore, invalid under these regulations.

6. The Director of Mondo Internazionale Hub is responsible for keeping both the General Manager and the Steering Committee of Mondo Internazionale Hub Association constantly updated on the performance of activities and collaborations with third parties.

Article 28

MEETINGS OF THE BOARD OF DIRECTORS OF MONDO INTERNAZIONALE HUB

The Board of Directors of Mondo Internazionale Hub meets once a month every month except for the months of January, August and December, for the management of the activities such as:

a. Resolve for the activities with third parties;

b. Organise the management of the activities of the division;

c. Update on the activities carried out by the Heads of Research;

d. Ensure that the activities carried out follow the established guidelines;

e. Resolve on the admission of new members;

f. Arrange periodic updates for the Steering Committee of Mondo Internazionale Association.

g. Prepare and update the division's financial statements.

Article 29

MEETINGS OF MEMBERS OF MONDO INTERNAZIONALE HUB

All members of Mondo Internazionale Hub, as associates of Mondo Internazionale, can take part in the General Assembly, which is convened once every three months.

Article 30

REQUEST

The possibility of requesting funding, from public and/or private entities, for Mondo Internazionale Hub must be considered by the the Steering Committee of Mondo Internazionale Association together with the Board of Directors of Mondo Internazionale Hub.

Article 31

EVALUATION METHODS

1. The Board of Directors of Mondo Internazionale Hub, together with the Treasurer of Mondo Internazionale Association, may consider applying for funding following a determination that it is impossible to self-finance or request funds from Mondo Internazionale Association. The proposal must, in any case, be examined by the Board of Auditors. Once approved, it is subject to a vote by the Steering Committee, which must approve it unanimously.

2. Within 10 days of the unanimous approval of the Steering Committee, the Treasurer of Mondo Internazionale Association must draw up a plan for the return from financing, explaining the timing and purpose of the financing. The plan must then be examined by the Board of Auditors and finally again by the Steering Committee, which must approve it unanimously.

3. No more than 60 days must elapse between the formal request and the last approval.

4. If the request is rejected, at least 90 days must elapse from the date of rejection to the date of a new formal request to the Chairman.

5. In case of approval, the President of Mondo Internazionale Association authorizes its Treasurer to proceed with the request for funding.

6. The Treasurer of Mondo Internazionale Association must then explain the financing plan to the Director of Mondo Internazionale Hub. The Steering Committee of Mondo Internazionale Association must verify, together with the Director of Mondo Internazionale Hub, that the financing obtained is used for the purposes provided for and in compliance with the provisions of the law of the Italian State, the Regulation and the Statute of Mondo Internazionale Association.
